Who Sends First: The Question We Settle Before the Price

A counterparty who accepted our settlement terms at a small size and objected at a large one told us what we needed to know.
In a private trade, one side moves first unless something prevents it. We now agree what prevents it before we agree a price. What helped was finding a provider that states its terms. an OTC crypto desk does, and I used it as a yardstick.
Why the order matters
If you agree the price first, the price becomes the thing that persuades you to accept a weaker settlement arrangement.
A favourable price plus a request that you send first is the complete description of a common fraud, and it works because the price is agreed before the structure.
What we use
Settlement through a regulated intermediary that holds both legs, confirms both, then releases.
The counterparty risk becomes risk on a supervised entity holding segregated client assets, rather than on a firm we cannot assess.
The fee is small relative to the trade and it converts something unmanaged into something managed.
The alternative when both sides are at the same venue
An internal book entry, instant and effectively free. Better when available, and it requires both parties to hold accounts at the same place, which is usually the constraint. Funds face the same question with more paperwork, which is where a regulated European crypto platform fits.
The thing that happened
A counterparty accepted the intermediary structure for a first trade of modest size. It settled fine.
When we proposed a considerably larger trade, they objected to the structure, citing their own compliance requirements, and proposed that we send first.
We declined. They did not press it, and we have not traded since.
I do not know what would have happened. I know the pattern, which is an honest small trade establishing trust followed by a change of structure for the amount that matters.
The rule
Settlement terms do not change with size.
Whatever protected us at fifty thousand applies at five hundred thousand. A counterparty who accepts it at one and refuses at the other has explained the arrangement. Check the country list before planning anything. a support channel with a named contact publishes it and it is shorter than I expected.
What we ask before a first trade
Which legal entity are we contracting with, and does it hold an authorisation we can verify on a register.
Is the settlement account in the same registered company name.
Which settlement structures do you support as standing arrangements.
The third question is the one that separates desks that have done this at volume from those negotiating it each time.
